1. Acceptance of Terms

By creating an account on YanaScript, accessing the platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include both you personally and the organization you represent.

If you do not agree to these Terms, you may not create an account or use the service. Your continued use of YanaScript after any modification to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

YanaScript is an AI-powered transcription platform that converts audio and video files into text transcripts. The service uses a multi-engine automatic speech recognition (ASR) pipeline combined with AI-driven quality refinement to produce accurate transcripts. Features include real-time transcript editing, speaker identification, multi-format export, organization-level collaboration, and a credit-based billing system.

The service is provided as a cloud-based software-as-a-service (SaaS) platform accessible through web browsers. YanaScript may update, modify, or discontinue features at any time, with reasonable notice for material changes.

3. Multi-Engine Processing Disclosure

To deliver high-quality transcriptions, YanaScript processes your audio through multiple ASR engines, which may include NVIDIA Parakeet, Groq Whisper, and WhisperX. These engines may be accessed via third-party infrastructure providers, including but not limited to RunPod (for GPU-accelerated processing) and Groq (for Whisper inference).

Following initial transcription, transcript text may be processed by Claude AI (developed by Anthropic) for quality refinement, including grammar correction, punctuation normalization, and formatting improvements.

By using YanaScript, you consent to your audio being transmitted to and processed by these third-party services solely for the purpose of generating your transcript. All third-party processors are contractually bound to handle your data in accordance with our data protection standards, as described in Sections 7, 8, and 10 of these Terms.

4. Account Registration

Accurate information. You agree to provide accurate, current, and complete information during registration and to update your information promptly if it changes. Providing false or misleading registration information may result in immediate account termination.

Password security. You are responsible for maintaining the confidentiality of your account credentials. Use a strong, unique password containing at least 8 characters, including uppercase letters and numbers. You are solely responsible for all activity that occurs under your account. Notify us immediately at support@yanascript.com if you suspect unauthorized access.

Organization administrator responsibilities. If you create or manage an organization account, you are responsible for managing member access, assigning appropriate roles, ensuring all members comply with these Terms, and maintaining the security of the organization's data. You accept liability for the actions of all users you invite to your organization.

5. Credit-Based Billing

How credits work. YanaScript operates on a credit-based billing system. Credits are consumed when you submit audio or video files for transcription. The number of credits consumed depends on the duration and complexity of the file. Credit balances and consumption details are visible in your account dashboard at all times.

Non-refundable. Purchased credits are non-refundable under normal circumstances. The sole exception is system failures attributable to YanaScript: if a transcription job fails due to a confirmed platform error and credits were deducted, we will restore the consumed credits to your account. Credits cannot be transferred between accounts or exchanged for cash.

Pricing changes. We reserve the right to modify credit pricing, plan rates, and billing structures. Any pricing change will be communicated to you at least 14 days in advance via email and/or an in-app notification. Changes will not affect credits already purchased or active billing periods already paid.

6. Intellectual Property

Your content. You retain full ownership of all audio files you upload and all transcripts generated from those files. YanaScript does not claim any ownership rights over your content. By using the service, you grant YanaScript a limited, non-exclusive, revocable license to process your audio files and associated data solely for the purpose of providing the transcription service to you. This license terminates when you delete your content or close your account.

Our platform. YanaScript and its licensors retain all rights, title, and interest in and to the platform, including but not limited to the software, algorithms, ASR pipeline architecture, user interface design, branding, trademarks, and all related intellectual property. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of any part of the platform without prior written permission from YanaScript.

7. Data Processing & Storage

Audio processing flow. When you submit a file for transcription, the audio is securely transmitted to our processing infrastructure, routed through our ASR engines, and the resulting transcript is returned to your account. During processing, your audio may temporarily reside on third-party infrastructure as described in Section 3.

Encryption. All data is encrypted using AES-256 encryption at rest and TLS (Transport Layer Security) encryption in transit. This applies to audio files, transcript data, and account information stored on our servers.

Data retention. Audio files transmitted to third-party ASR providers are deleted from their systems immediately after processing is complete. They are not retained by any third party beyond the time necessary to generate your transcript. Transcripts and associated metadata are retained in your account until you choose to delete them. Upon account closure, all data is permanently deleted within 30 days, subject to Section 14.

8. No AI Training Pledge

YanaScript does not use your audio files, transcripts, or any other customer data to train, fine-tune, or improve AI or machine learning models, whether our own or any third party's. Your data is processed exclusively to deliver the transcription service you requested.

All third-party processors engaged by YanaScript (including ASR engine providers and AI refinement services) are contractually bound by the same restriction. Your content is never contributed to training datasets, model improvement pipelines, or research corpora.

9. Accuracy Disclaimer

Transcripts generated by YanaScript are provided on an "as-is" basis. While our multi-engine pipeline is designed to maximize accuracy, transcription quality depends on factors including but not limited to: audio recording quality, background noise levels, speaker accents and speech patterns, overlapping speakers, technical terminology, and audio file format.

YanaScript transcripts are not certified legal records, medical records, or official documents. They should not be relied upon as the sole source of truth for legal proceedings, medical documentation, regulatory compliance, or any context where verbatim accuracy is legally required.

You are responsible for reviewing and verifying all transcripts before using them for any purpose. YanaScript disclaims all liability for errors, omissions, or inaccuracies in generated transcripts.

10. Confidentiality

All audio files and transcripts uploaded to or generated by YanaScript are treated as confidential information. We do not access, review, listen to, or read your content unless: (a) you explicitly request support assistance that requires access, (b) we are compelled by law or valid legal process, or (c) it is necessary to investigate a violation of these Terms or protect the safety of our users.

No human review of your audio or transcripts occurs without your prior consent. Automated processing is performed by machines, and human intervention occurs only in the circumstances described above.

All third-party processors are contractually bound by confidentiality obligations that are at least as protective as those described in these Terms. We maintain data processing agreements with all third-party infrastructure and AI service providers.

11. Organization Accounts

Data ownership. All data created within an organization account (including transcripts, jobs, and settings) is owned by the organization, not by individual members. When a member leaves an organization, they do not retain access to or ownership of any organization data.

Administrator responsibilities. Organization administrators are responsible for managing user roles and permissions, controlling access to sensitive transcripts, ensuring compliance with these Terms across all organization members, and promptly removing members who no longer require access.

Data separation. Organization data is logically separated from other organizations and individual accounts. Members of one organization cannot access data belonging to another organization. YanaScript enforces organization-level access controls on all data endpoints.

12. Acceptable Use

You agree to use YanaScript only for lawful purposes and in compliance with all applicable laws. Specifically, you represent and warrant that:

(a) You have the lawful right to upload and transcribe all audio files you submit, including ownership or valid authorization from the rights holder.
(b) You have obtained the consent of all recorded parties where required by applicable law (including but not limited to two-party consent jurisdictions).
(c) You will not use the service to process content obtained through illegal surveillance, unauthorized wiretapping, or any other unlawful recording method.

Prohibited content. You may not upload or process: child sexual abuse material (CSAM) or any content involving the exploitation of minors; content obtained through illegal surveillance or unauthorized interception; content that incites violence, terrorism, or hatred against any group; content that infringes third-party intellectual property rights without authorization; or any content whose transcription would violate applicable law.

Violation of this section may result in immediate account termination, deletion of all associated data, and referral to appropriate law enforcement authorities.

13. Limitation of Liability

To the maximum extent permitted by applicable law, YanaScript's total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the service shall not exceed the total amount you paid to YanaScript in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall YanaScript, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, regardless of the theory of liability and even if YanaScript has been advised of the possibility of such damages.

YanaScript shall not be liable for any failure or degradation of service caused by third-party infrastructure providers, ASR engine outages, AI service disruptions, internet connectivity issues, or any other cause beyond our reasonable control. While we maintain redundancy and failover measures, third-party service availability is not guaranteed by YanaScript.

14. Termination

Voluntary termination. You may close your account at any time through your account settings or by contacting support@yanascript.com. Upon closing your account, you will have a 30-day data export period during which you may download your transcripts and associated data. After this 30-day period, all your data will be permanently and irreversibly deleted from our systems.

Termination by YanaScript. We may suspend or terminate your account if you materially breach these Terms, engage in prohibited use as described in Section 12, fail to pay for services, or use the platform in a manner that threatens the security or integrity of our systems or other users. We will provide reasonable notice before termination unless the violation poses an immediate risk.

Surviving provisions. The following sections survive termination of these Terms: Section 6 (Intellectual Property), Section 8 (No AI Training Pledge), Section 9 (Accuracy Disclaimer), Section 13 (Limitation of Liability), Section 15 (Governing Law), and this Section 14.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of YanaScript that cannot be resolved through good-faith negotiation within thirty (30) days shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted remotely to the extent permitted by the applicable rules.

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

16. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you at least 14 days in advance via email to the address associated with your account and/or through a prominent notice within the platform.

Your continued use of YanaScript after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and close your account before the changes take effect.
